Terms of Service

Applies to: marketplaceoffavors.com and all MOF platform services

These Terms of Service (“Terms”) constitute a binding legal agreement between you and [WYOMING LLC NAME], a Wyoming limited liability company operating Marketplace of Favors (“MOF,” “we,” “us,” or “our”). By creating an account or using the MOF platform, you agree to these Terms in full.

1. Platform Role

MOF is a technology platform that facilitates warm professional introductions between members. MOF is not a party to any introduction, relationship, transaction, employment arrangement, investment, or other outcome that may arise from platform use. All introductions are made by users, not by MOF.

2. Eligibility

To use MOF you must:

  • Be at least 18 years of age
  • Provide accurate and truthful information in your profile and all platform interactions
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using the platform under applicable law

By creating an account you represent and warrant that you meet all eligibility requirements.

3. Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

  • Provide accurate registration information and keep it updated
  • Notify us immediately of any unauthorized account access at support@marketplaceoffavors.com
  • Not share your account credentials with any other person
  • Not create multiple accounts or accounts on behalf of others without authorization

4. MOF Credits

MOF Credits are a platform utility used to facilitate introductions. Credits:

  • Have no monetary value and cannot be redeemed for cash or any other currency
  • Are non-transferable between accounts
  • Cannot be purchased with real money
  • Are earned through completing introductions, reporting outcomes, and inviting members
  • Expire after 24 months of account inactivity
  • May be adjusted, revoked, or forfeited by MOF for violations of these Terms or platform abuse

MOF reserves the right to modify the credit system, including earn rates and escrow rules, with notice to users.

5. User Conduct

You agree not to:

  • Misrepresent your identity, professional background, or network connections
  • Claim the ability to make introductions you cannot actually deliver
  • Engage in any form of fraud, manipulation, or deceptive conduct
  • Circumvent platform systems including the credit economy, rating system, or identity verification
  • Harass, threaten, or abuse other users
  • Use the platform to solicit payments, services, or benefits outside of MOF's credit system
  • Scrape, copy, or distribute platform content without authorization
  • Attempt to reverse-engineer or interfere with platform infrastructure

MOF may suspend or terminate accounts for violations without notice or refund of credits.

6. Introductions and Outcomes

MOF does not guarantee that any introduction will be made, that any introduction will lead to a desired outcome, or that any self-reported outcome is accurate. All outcomes are self-reported by users. MOF does not independently verify interview offers, funding events, job offers, or any other outcome.

The Impact History displayed on user profiles reflects self-reported data and platform-tracked activity. It is not a verified credential and should not be relied upon as such by third parties.

7. Trust System

Star ratings, vouches, and Impact History scores are generated by user activity and subjective user assessments. MOF does not endorse, verify, or guarantee the accuracy of any rating, vouch, or impact score. MOF reserves the right to remove or adjust ratings that violate platform conduct standards.

8. Disputes Between Users

MOF provides a dispute resolution mechanism for platform mechanics (e.g., whether a vetting call occurred, whether an introduction was made). MOF does not adjudicate factual disputes about the quality of introductions, outcomes of conversations, or professional relationships formed through the platform. Users are encouraged to resolve interpersonal disputes directly.

9. Intellectual Property

You retain ownership of the content you post on MOF, including request descriptions, offer descriptions, and messages. By posting content, you grant MOF a non-exclusive, worldwide, royalty-free, perpetual license to use, display, reproduce, and distribute your content solely for the purpose of operating and improving the platform.

Your Impact History — the record of introductions made and outcomes reported on the MOF platform — is platform-bound. It cannot be exported, transferred, or ported to another platform. This is a core element of MOF's value proposition and intellectual property.

MOF's name, logo, branding, and platform software are the exclusive property of [WYOMING LLC NAME]. You may not use MOF's intellectual property without express written permission.

10. Privacy

Your use of MOF is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By agreeing to these Terms, you also agree to the Privacy Policy.

11. Account Deletion

You may delete your account at any time from your profile settings or by emailing support@marketplaceoffavors.com. Upon deletion, your personal data will be anonymized as described in the Privacy Policy. Anonymized transaction and outcome data will be retained to preserve platform integrity. Credits are forfeited upon deletion.

12. Termination by MOF

MOF may suspend or terminate your account at any time, with or without notice, for:

  • Violation of these Terms
  • Conduct that harms other users or the platform community
  • Extended inactivity (24+ months)
  • Legal or regulatory requirements

Upon termination, your access to the platform and all credits are forfeited. Anonymized data may be retained as described in the Privacy Policy.

13. Disclaimers

The MOF platform is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. MOF does not warrant that the platform will be uninterrupted, error-free, or free of harmful components.

14. Limitation of Liability

To the maximum extent permitted by applicable law, [WYOMING LLC NAME] and its members, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost data, or reputational harm, arising from your use of the platform or any introduction or outcome facilitated through it, even if advised of the possibility of such damages. Our total liability to you for any claim shall not exceed $100.

15. Indemnification

You agree to indemnify, defend, and hold harmless [WYOMING LLC NAME] and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the platform; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you post on the platform.

16. Dispute Resolution and Arbitration

Any dispute arising out of or relating to these terms or your use of MOF shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. You waive your right to a jury trial and to participate in any class action.

Exceptions: Either party may seek injunctive or other equitable relief in a court of competent jurisdiction for claims involving intellectual property infringement or misappropriation.

Small claims: Either party may bring an individual claim in small claims court if it qualifies.

Opt-out: You may opt out of arbitration by emailing legal@marketplaceoffavors.com within 30 days of first accepting these Terms. Opt-out does not affect other provisions of these Terms.

17. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any dispute not subject to arbitration shall be brought exclusively in the state or federal courts located in Wyoming.

18. Severability

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

19. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and MOF regarding your use of the platform and supersede all prior agreements and understandings.

20. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will:

  • Update the version number and effective date at the top of this document
  • Notify you via email and in-app notification at least 7 days before the changes take effect
  • Require re-acceptance before you can continue using the platform

Your continued use of MOF after the effective date of updated Terms constitutes acceptance. If you do not agree to updated Terms, you must stop using the platform and may request account deletion.
